3. Client Responsibilities

When engaging with Big Tech Energy, clients agree to:

• Ensure authorized personnel are designated for decision-making and approvals

4. Intellectual Property Rights

Our Property: Big Tech Energy retains all rights, title, and interest in our proprietary methodologies, frameworks, tools, and pre-existing intellectual property used in delivering services.

Client Property: Clients retain ownership of their pre-existing intellectual property, data, and confidential information provided to us.

Work Product: Ownership of deliverables and work product created specifically for clients will be defined in individual service agreements or statements of work.

5. Confidentiality and Data Protection

Big Tech Energy is committed to protecting the confidentiality and security of client information:

• We implement industry-standard security measures to protect client data
• We comply with applicable data protection regulations including GDPR, CCPA, and HIPAA where applicable
• We maintain strict access controls and employee confidentiality agreements
• We process personal data only as necessary for service delivery and as authorized by clients

6. Payment Terms

Fees: Service fees will be specified in individual engagement agreements or statements of work. Fees may be structured as fixed-price, time and materials, or retainer-based arrangements.

Invoicing: Invoices will be issued according to the agreed payment schedule. Payment is due within 30 days of invoice date unless otherwise specified.

Late Payment: Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AN ENGAGEMENT AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG TECH ENERGY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL BIG TECH ENERGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

9. Termination

Either party may terminate an engagement for convenience with 30 days' written notice, unless otherwise specified in the engagement agreement. Either party may terminate immediately for material breach if the breach is not cured within 15 days of written notice.

Upon termination, client shall pay for all services performed and expenses incurred up to the termination date. Provisions regarding confidentiality, intellectual property, and limitation of liability shall survive termination.

10. Compliance and Regulatory Requirements

Big Tech Energy understands the critical importance of compliance in regulated industries. We commit to:

• Comply with applicable federal, state, and local laws and regulations
• Maintain appropriate certifications and security clearances as required
• Implement controls consistent with industry frameworks (NIST, ISO 27001, SOC 2)
• Support client audit and compliance requirements as specified in engagement agreements
• Provide documentation and evidence of compliance upon reasonable request

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.
